About the Position
Enoch Wealth Inc. is seeking an experienced Administrative Manager – Corporate Governance, Contracts & Compliance to oversee administrative functions related to corporate governance, contractual documentation, regulatory compliance, records management, and internal administrative controls.
The position is responsible for organizing and managing the Company’s corporate and contractual documentation, coordinating administrative compliance processes, supporting internal and external audits, monitoring contractual obligations, and providing administrative and compliance-related reports and recommendations to senior management.
The successful candidate will apply experience in legal consulting, contract review, audit support, documentation management, and compliance administration to the Company’s administrative and corporate governance functions.
Key Responsibilities
Corporate Governance and Compliance
- Plan, organize, direct, control, and evaluate administrative activities relating to corporate governance and regulatory compliance.
- Develop, implement, and maintain administrative policies, procedures, records management systems, and internal control procedures.
- Coordinate corporate governance documentation and maintain organized records of corporate resolutions, agreements, regulatory documentation, and related materials.
- Review administrative procedures and documentation to ensure they are consistent with applicable corporate policies, contractual requirements, and regulatory obligations.
- Coordinate with senior management, external legal counsel, compliance personnel, and other professional advisors regarding corporate governance and regulatory documentation.
- Monitor regulatory and administrative requirements and coordinate follow-up actions where required.
Contract Administration and Review
- Administer and maintain records for corporate contracts, vendor agreements, professional service agreements, office leases, and other contractual arrangements.
- Review contracts and supporting documentation from an administrative and compliance perspective and identify issues requiring management or legal review.
- Maintain centralized contract records and monitor renewal dates, contractual obligations, deadlines, deliverables, and required approvals.
- Coordinate with management, legal counsel, vendors, and other stakeholders regarding contractual documentation and administrative requirements.
- Track contract-related obligations and follow up with responsible departments to ensure timely completion.
Audit and Records Management
- Support internal and external audits by organizing contracts, corporate records, financial and administrative documentation, and other supporting materials.
- Coordinate responses to administrative and documentation requests arising from audits, reviews, and compliance activities.
- Maintain records of audit findings, recommendations, corrective actions, and follow-up requirements.
- Monitor outstanding audit and compliance matters and follow up with relevant departments to ensure deficiencies are addressed within established timelines.
- Establish and maintain appropriate document retention, filing, and records management procedures.
Administrative Management
- Direct and advise staff engaged in records management, compliance administration, purchasing, human resources, finance, and other administrative services.
- Coordinate administrative support among departments and ensure administrative procedures are implemented consistently.
- Evaluate administrative processes and recommend improvements to management.
- Establish work priorities and supervise administrative employees responsible for corporate documentation, records, contracts, and related administrative services.
Budget and Contract Administration
- Plan, administer, and control budgets relating to contracts, professional services, equipment, supplies, and administrative activities.
- Monitor administrative expenditures and contractual costs against approved budgets.
- Coordinate purchasing and professional service arrangements and maintain appropriate supporting documentation.
- Review administrative expenditures and contractual commitments and report material issues to senior management.
Staff Management
- Interview, hire, train, supervise, and evaluate administrative employees.
- Provide guidance to staff responsible for records management, contract administration, compliance documentation, and other administrative services.
- Establish performance expectations and ensure staff follow applicable administrative policies and procedures.
Management Reporting
- Prepare reports, briefs, audit follow-up summaries, contract status reports, and administrative recommendations for senior management and management committees.
- Evaluate administrative services and recommend changes to improve internal controls, documentation, compliance, and operational efficiency.
- Provide management with timely information regarding contractual obligations, audit findings, compliance matters, and administrative risks.
Qualifications
- Bachelor’s degree in business administration, law, commerce, management, finance, or a related field; or equivalent education and experience.
- 2-7 years of professional experience in legal consulting, contract administration, contract review, audit support, compliance administration, corporate administration, or a related field.
- Demonstrated experience reviewing and managing contracts, corporate records, audit documentation, or compliance-related materials.
- Experience working with legal counsel, auditors, management, or other professional advisors is an asset.
- Strong understanding of documentation management, contractual obligations, internal controls, and administrative compliance procedures.
- Strong analytical, organizational, research, and written communication skills.
- Ability to manage confidential corporate, contractual, financial, and regulatory information.
- Strong attention to detail and ability to manage multiple deadlines and priorities.
- Previous supervisory or management experience is preferred.
Working Conditions
- Full-time, permanent employment.
- 37.5 hours per week.
- Work must be completed on-site at the Company’s Vancouver office.
- No regular travel is required.
Pay: $115,000.00-$117,000.00 per year
