The Opportunity
We are seeking a Corporate Law Clerk with seven (7) + years of experience in business/commercial law to join our team.
Key Responsibilities
The successful candidate will support a growing corporate/commercial practice by:
- Managing corporate records and minute books, including reviews, updates, rectifications, and maintenance of corporate records;
- Communicating regularly with clients, lawyers, regulatory bodies, and other professionals;
- Preparing documentation for incorporations, amendments, amalgamations, dissolutions, reorganizations, extra-provincial registrations, and business name registrations;
- Assisting with share and asset purchase transactions, including preparation of closing documents and transaction support;
- Managing general file administration;
- Maintaining filing systems and tracking deadlines;
- Opening and closing client files and organizing closing documentation;
- Preparing various accounting and billing-related documents;
- Assisting with debt and equity financing transactions;
- Conducting corporate searches and preparing reports;
- Preparing and filing annual returns and other regulatory filings;
- Obtaining corporate certificates and status documentation;
- Conducting preliminary name searches and supporting corporate name approval processes;
- Recording time, preparing accounts, and supporting accounts receivable activities; and
- Performing other related duties as assigned.
Qualifications
Knowledge & Skills
- Strong knowledge of corporate law procedures and relevant legislation, including federal and provincial corporate statutes;
- Ability to work independently and collaboratively in a fast-paced environment;
- Strong organizational, time-management, and multitasking skills;
- Experience with corporate records management software and Microsoft 365;
- Professional, dependable, and client-service oriented;
- Excellent attention to detail, proofreading, and document formatting skills;
- Strong verbal and written communication abilities; and
- Commitment to fostering a respectful and inclusive workplace.
Education & Experience
- Seven (7)+ years of experience as a Corporate/Commercial Law Clerk;
- Law Clerk diploma or an equivalent combination of education and relevant experience.
Additional Assets
- Experience with document management systems would be considered an asset;
- Strong technical aptitude and comfort learning new software.
Work Arrangement
This position is primarily office-based, with some flexibility for remote work depending on operational requirements.
Compensation & Benefits
Compensation starts at $80,000.00, but the total amount will be commensurate with experience and qualifications.
