Core Responsibilities
· Independently manage corporate files from initiation through completion
· Prepare and file annual returns using established systems and automated processes
· Draft and finalize closing documents for corporate transactions, including share and asset purchases and financing matters
· Manage corporate reorganizations, amalgamations, and restructuring files
· Draft corporate governance documents, including shareholder agreements, resolutions, and minute book materials
· Maintain and manage digital minute books with accuracy and compliance
· Conduct corporate registry searches and filings across jurisdictions
· Lead corporate compliance and coordinate ongoing maintenance for client portfolios
· Support lawyers on complex corporate matters while operating with a high degree of autonomy
· Identify opportunities to improve workflows, enhance automation, and contribute to process development.
Core Qualifications
· 5 years of experienced as a corporate paralegal with a focused corporate law practice
· Demonstrated track record of managing corporate files independently with minimal supervision
· Hands-on experience with annual return filing, closing transactions, and corporate reorganizations
· Proven experience with digital minute books and comfort with automated filing processes
· Strong technical knowledge and the ability to manage files independently
· A process-driven professional who actively looks for ways to improve efficiency and streamline workflows
· A confident communicator who can clearly explain corporate matters to clients
effectively
· Proficiency with Microsoft Office Suite and cloud-based platforms
· Ability to learn and implement new tools quickly, with a genuine interest in technology-driven efficiency
