About The Opportunity
Our client is seeking an experienced Senior Corporate Paralegal to join its Corporate Services team. This role offers the opportunity to work on sophisticated corporate transactions while managing files from inception through completion with a high degree of autonomy. You will collaborate closely with lawyers on complex mandates involving incorporations, reorganizations, mergers and acquisitions, due diligence, and corporate governance matters.

About The Position
Reporting to the Corporate Services team, the Senior Corporate Paralegal will provide specialized legal and technical support to lawyers across a variety of corporate transactions. The successful candidate will independently manage multiple files while ensuring accuracy, compliance, and exceptional client service.
Responsibilities
- Conducting minute book reviews and maintaining corporate records.
- Managing incorporations and extra-provincial registrations across Canada.
- Preparing documentation for reorganizations, acquisitions, mergers, amalgamations, amendments, continuations, revivals, dissolutions, and name changes.
- Reviewing agreements and preparing supporting legal documentation.
- Conducting and summarizing due diligence searches.
- Organizing transaction closings, including closing documentation and closing books.
- Completing provincial and federal corporate filings.
- Managing files from beginning to completion with minimal supervision.
- Performing other related corporate paralegal responsibilities as required.
The Requirements
- Minimum 8 years of corporate paralegal experience within a law firm.
- Strong knowledge of corporate legislation and the ability to exercise sound independent judgment.
- Experience using the ALF corporate records database.
- Comprehensive knowledge of incorporations under the Corporations Act.
- Experience working with public companies and knowledge of the Securities Act.
- Proven ability to manage multiple files while meeting tight deadlines.
- Ability to work independently with minimal supervision.
- Excellent communication, client service, and interpersonal skills.
Compensation & Benefits
- Salary: $90,000-$120,000 commensurate with experience.
