A Vancouver-based public company is seeking a Paralegal to support its Corporate Secretary in managing corporate governance, regulatory compliance, and securities law obligations. This is an excellent opportunity for a detail-oriented and proactive professional who thrives in a fast-paced, regulated environment and is looking to support board governance, public company compliance, securities filings, and corporate transactions within a collaborative corporate setting.
This role is well suited to someone with strong corporate and securities experience who is comfortable handling confidential information, managing multiple deadlines, and working closely with senior management, external counsel, auditors, and regulatory bodies.
Key responsibilities include:
- Assisting with Board of Directors and committee administration, including preparing agendas, board materials, resolutions, and maintaining minutes and written consents
- Supporting corporate governance documentation, including articles, bylaws, mandates, charters, and policies
- Assisting with annual and special shareholder meetings and proxy-related documentation
- Maintaining minute books and corporate records
- Tracking director and officer appointments, resignations, and shareholdings
- Coordinating with corporate service providers and external counsel across multiple jurisdictions
- Assisting with continuous disclosure filings, including Management Information Circulars, material change reports, and insider reporting support
- Supporting compliance with Canadian securities laws, stock exchange rules, and corporate statutes
- Maintaining disclosure calendars and monitoring filing deadlines
- Assisting with SEDAR+ filings and recordkeeping
- Supporting share capital transactions, including issuances, option grants, and exercises
- Maintaining capitalization tables and equity records
- Liaising with transfer agents and stock plan administrators
- Assisting with equity compensation plan administration
- Supporting due diligence for financings, mergers, acquisitions, and joint ventures
- Assisting external legal counsel, auditors, and regulators as required
The ideal candidate will have:
- A diploma or degree in Paralegal Studies, Legal Administration, or a related field
- Strong knowledge of Canadian corporate and securities law
- Familiarity with public company governance and regulatory requirements
- Experience with SEDAR+ and insider reporting systems
- 5+ years of experience in a corporate, securities, or governance-focused paralegal role
- Experience supporting a public company, mining company, or law firm securities practice preferred
- Exceptional organizational skills and attention to detail
- The ability to manage multiple priorities and deadlines within a regulated environment
- Strong professional judgment, discretion, and integrity
Compensation:
- Salary range is flexible and commensurate with experience, approximately $80,000 – $120,000
- Comprehensive benefits package including HSA
- Bonus eligibility based on individual KPIs
- Yearly equity plan (RSUs)
- 4 weeks vacation to start, in addition to office closure between Christmas and New Year’s
- Preference for a fully in-office, although flexibility for 1 work-from-home day per week may be available for the right person
- May require occasional availability outside standard business hours for board meetings, financings, or regulatory deadlines
