The CIB is seeking a Legal Counsel, Corporate and Commercial - Enterprise Legal (Bilingual), to join our team. The Enterprise Legal team provides proactive, risk-based legal advice across the CIB's enterprise operations on matters related to procurement, contracts, intellectual property, policies, corporate governance, as well as compliance with legislation and policies applicable to federal Crown corporations. The team safeguards the CIB's statutory mandate, while delivering advice that enables informed decision-making and fosters transparency and accountability across the organization.
Reporting to the Vice President, Enterprise Legal, the Legal Counsel will provide legal support across the enterprise legal portfolio, including corporate commercial contracting, procurement legal support, policy development, corporate governance support and compliance-related initiatives.

Your responsibilities include:
1. Enterprise legal services
- Draft, review and analyze a range of enterprise (non-investment) agreements for goods and services and other corporate/commercial documents, using approved templates, standard provisions and playbooks
- Support procurement processes by reviewing agreements for compliance with legal and policy requirements and assisting with negotiations, identifying deviations from approved positions and escalating non-standard or higher-risk issues as appropriate
- Provide legal, governance, advisory and project execution support to internal stakeholders in connection with the CIB's internal policies, standards and governance framework
- Support the Enterprise Legal team on corporate priorities and initiatives as assigned, including contributing to policy and guidance updates and preparing supporting documentation
- Support the consistent application of enterprise legal standards, policies and delegations of authority in the execution of assigned matters
- Conduct legal research and analysis on corporate, commercial, governance and compliance requirements; draft memoranda and other deliverables to support business initiatives and decision-making
2. Relationship building and knowledge management
- Build productive working relationships with business partners and collaborate effectively with senior counsel and peers to meet team priorities and service standards
- Contribute to continuous improvement activities, including capturing lessons learned and recommending updates to templates, playbooks, checklists and internal guidance
- Support the preparation of internal guidance materials and training resources, as requested
- Undertake other reasonable duties as assigned
Your ideal profile:
- LL.B./LL.M/JD or equivalent, as well as qualified/licensed to practice law in Ontario or Québec
- Approximately three to seven years (or comparable) post-qualification experience in a leading law firm and/or in-house legal department at a federal/provincial Crown corporation or public company
- Experience drafting and negotiating commercial agreements; demonstrated capability in commercial contracting, procurement-support work and internal policies
- Bilingual in both official languages (English and French) verbal and written, required for the position
- Strong communication and interpersonal skills, including an ability to build relationships and work cooperatively with many different stakeholders
- Strong legal drafting and analytical skills, with the ability to translate legal issues into clear, practical advice for business partners
- Strong organizational, project management and decision-making skills; able to manage multiple competing priorities and deliver high-quality work within timelines
- Flexible and adaptable, including the ability to be open to change and assume new responsibilities as the organization matures
- Demonstrated professionalism, integrity and alignment with the CIB's public interest mandate and values
