We are seeking an experienced banking industry professional to advise on the strategic acquisition of a community bank or credit union in the US or Canada. This role requires deep understanding of regulatory approval processes, bank valuation methodologies, and deposit-focused growth strategies.
Key Responsibilities:
- Identify and evaluate potential bank/credit union acquisition targets
- Navigate regulatory approval processes (FDIC, OCC, Federal Reserve, OSFI, or provincial regulators)
- Conduct due diligence on target institutions (loan portfolios, deposit base, regulatory standing, CRA ratings)
- Advise on deal structuring (stock vs. asset purchase, capital requirements)
- Liaise with banking regulators and compliance teams
- Develop post-acquisition integration strategy for deposit growth initiatives
Required Qualifications:
- 10+ years in banking, bank regulatory affairs, or financial institution M&A
- Direct experience with bank holding company transactions or change-of-control filings
- Deep knowledge of Bank Secrecy Act, CRA, and capital adequacy requirements
- Relationships with bank regulators (FDIC, OCC, Federal Reserve, OSFI) preferred
- Experience with community banks, credit unions, or de novo bank charters
- Series 79 (US) or equivalent investment banking credentials a plus
Preferred Background:
- Previous role as bank CFO, Chief Risk Officer, or M&A advisor at a regional/community bank
- Experience with minority depository institutions (MDI) or CDFI banking
- Understanding of diaspora/affinity banking models
Compensation Structure:
- Consulting retainer + success fee (typically 1-3% of transaction value for bank M&A advisors)
- Or equity stake if structured as ongoing advisory relationship
Pay: From $34,400.00 per year
