Mishka Social Services is a Hamilton-based nonprofit organization dedicated to supporting newcomers, immigrants, refugees, and racialized communities. Through culturally responsive programs, settlement support, and community resources, we help individuals navigate the challenges of settling in Canada with confidence and dignity.
Position Overview
The Mishka Social Services Board of Directors is the organization's governing body. It oversees the organization's activities and ensures that it operates in accordance with its mission, values, and goals. A Board Member has a fiduciary responsibility to act in the organization’s best interests and must participate in developing and implementing the organization’s strategic plan, ensuring it aligns with the organization’s mission, values, and goals. They also play an active role in promoting the organization in the community and must work to build relationships with key interest-holders.
We are seeking a highly organized and detail-oriented individual to join our Board as Board Director with Board Secretary responsibilities. The Secretary supports the Board in ensuring effective governance practices, accurate record-keeping, and clear communication within the Board. This role is ideal for someone who is organized, reliable, and interested in nonprofit governance.
Key Responsibilities
- Attend regular (monthly) and ad hoc Board meetings – Meetings are mostly
- virtual, with 2 in-person meetings annually in the Hamilton area.
- Participate actively in Board meetings and strategic planning initiatives
- Uphold fiduciary duties and governance responsibilities as a Board member
- Promote Mishka Social Services among the community and interest-holders
- Help the Board Chair in scheduling and calling Board Meetings
- Prepare agendas and supporting materials for Board meetings
- Record and maintain accurate meeting minutes and official records
- Track action items and follow-ups from Board meetings
- Maintain corporate records, bylaws, and governance documents
- Lead Board communications, correspondence, and document distribution
- Ensure proper filing and organization of organizational documents
- Ensure compliance with governance policies and regulatory requirements
Qualifications
- Strong organizational and administrative skills
- Excellent written communication and attention to detail
- Ability to manage confidential information with discretion
- Familiarity with board governance practices
- Proficiency in Microsoft Office (Word, Outlook, Teams, etc.)
- Ability to work collaboratively with Board members
- Prior nonprofit or board experience is an asset
- Prior administrative or executive responsibility is an asset
Time Commitment
An average time commitment of 1 hour per week to review material and fulfill the responsibilities listed above, including maintaining board and organizational documents.
