The firm is seeking a well-organized, polished, and self-motivated lawyer who is committed to long-term growth within the firm. Associates are considered an integral part of the team, and the firm is looking to onboard a strong candidate as soon as possible. Minimum 5 years of experience in Corporate Law and Commercial Real Estate is required.
Key Responsibilities
Commercial Real Estate
Ability to independently manage commercial real estate files
Experience in commercial leasing, SPAs, APAs, franchise agreements, title and off-title searches, and transaction structuring
Experience dealing with mortgagees, standstill and subordination agreements, security documentation, holdbacks, and escrow arrangements
Experience with title insurance and negotiating exceptions
Corporate Law
Ability to independently manage corporate law files
Experience with shareholder agreements, incorporations, amalgamations, share purchase agreements, and corporate restructuring
Experience preparing external investor packages
Experience structuring representations and warranties
Requirements
LLB or JD from an accredited Canadian law school
Member in good standing with the Law Society of Ontario
5+ years' experience in corporate/commercial real estate law (mid-sized or large firm)
Strong legal drafting, analytical, and research skills
Ability to manage tight deadlines and multiple competing priorities
Strong client service and communication skills
Book of business is an asset (not required)
