Corporate Paralegal – Reed Pope Business Lawyers

We are seeking an experienced Corporate Paralegal to join our Business Law team. The successful candidate will work directly with experienced business lawyers on mergers and acquisitions, financings, corporate reorganizations, estate freezes, and other complex business transactions. This is an opportunity to take ownership of files, work closely with clients and advisors, and play a meaningful role in sophisticated transactions.
Primary Duties:
- Support lawyers in mergers and acquisitions, corporate reorganizations, estate freezes, financing transactions, and other sophisticated business transactions.
- Prepare transaction documents, corporate resolutions, and related corporate records for business transactions and reorganizations.
- Manage transaction closings, including closing agendas, closing documentation, execution coordination, registrations, and post-closing matters.
- Conduct and review due diligence searches and assist in preparing due diligence summaries and reports.
- Liaise with clients and professional advisors, including accountants, lenders, regulators, and opposing counsel.
- Prepare and coordinate regulatory and corporate filings arising from transactional matters.
- Contribute to the continued development of the firm's precedents, systems, and transaction processes.
Training, Skills and Experience:
- Minimum five years' experience as a corporate paralegal or senior legal assistant in a corporate/commercial practice.
- Experience managing transactional files independently and coordinating multiple stakeholders through complex closings.
- Strong understanding of corporate law processes and compliance requirements
- Familiarity with corporate records software and electronic filing systems (e.g., ALF, BC Online, and federal online filing systems)
· Working knowledge of federal corporations and compliance under the Canada Business Corporations Act (CBCA)
- Comfortable working in a technology-enabled practice environment, including document management systems, electronic filing platforms, Microsoft 365, and AI-assisted productivity tools.
- Excellent written and verbal communication skills with a professional and courteous manner
- Strong organizational skills and the ability to manage multiple deadlines effectively
- Attention to detail and ability to work independently and as part of a team

Salary & Benefits:
- Annual Salary of $70,000 - $95,000, commensurate with experience
