Chief Executive Officer (CEO)
Position Summary
The Board of Directors is seeking a Chief Executive Officer to lead the Company through its next phase of growth. The successful candidate will possess a strong capital allocation mindset and a demonstrated ability to deploy capital into opportunities that create long-term shareholder value.
The CEO will be responsible for sourcing and evaluating acquisition targets, executing transactions, overseeing the existing operating subsidiary, and ensuring the Company meets its obligations as a public issuer.
Success will be measured by growth in per-share intrinsic value, returns on invested capital, free cash flow generation, and the disciplined deployment of shareholder capital.
This is not a traditional corporate executive role. The Board is seeking an entrepreneurial leader who thinks and acts like an owner, understands capital allocation, and is passionate about creating long-term per-share value for shareholders.
Strategic Mandate
- Optimize capital allocation across the Company, including the deployment of more than $4 million of excess treasury cash and recurring free cash flow toward value-creating opportunities.
- Execute a disciplined acquisition and capital allocation strategy focused on acquiring profitable operating businesses at attractive valuations.
- Build a pipeline of acquisition candidates and bring suitable transactions to completion on terms that are accretive to shareholders.
- Strengthen and support the existing operating subsidiary, Permatech, while integrating newly acquired businesses into the holding-company structure
Key Responsibilities
Capital Allocation & Strategy
- Set and execute the Company’s capital allocation strategy, balancing acquisitions, reinvestment in operating subsidiaries, and returns of capital where appropriate.
- Develop and maintain a robust investment framework for evaluating acquisition opportunities, including valuation discipline, return thresholds, and risk assessment.
Mergers, Acquisitions & Integration
- Identify, source, and screen privately held, profitable companies that are strong candidates for acquisition by the Company.
- Lead negotiations, due diligence, deal structuring, and financing for acquisitions.
- Oversee post-acquisition integration of businesses into the publicly traded holding-company structure, preserving the strengths of each acquired business.
Operations & Subsidiary Oversight
- Provide leadership and oversight to the management teams of operating subsidiaries, including Permatech.
- Monitor subsidiary performance and cash generation and support operating leaders in driving profitable growth.
Public Company Leadership & Governance
- Ensure the Company meets its continuous disclosure, reporting, and governance obligations as a public issuer.
- Serve as the Company’s primary spokesperson with shareholders, the investment community, and other stakeholders.
- Build and maintain relationships with shareholders, investors, analysts, regulators, and strategic partners.
- Understand the responsibilities of stewarding public-company capital and maintaining alignment with long-term shareholders.
- Work closely with, and report to, the Board of Directors on strategy, performance, and material developments.
Qualifications & Experience
Required
- Strong financial acumen demonstrated through professional experience, business ownership, investment management, corporate finance, or relevant professional designations such as CPA, CFA, CBV or MBA.
- A demonstrated understanding of how to optimize capital allocation within a public company.
- Extensive experience identifying companies for sale that would be strong candidates for acquisition.
- A strong understanding of how small businesses operate.
- Demonstrated understanding of the nuances of rolling up companies into a publicly traded holding company.
Preferred
- A history of successfully sourcing, executing, and integrating acquisitions in a holding-company or roll-up context.
- Experience leading or reporting within a publicly traded company, including familiarity with public-issuer disclosure and governance requirements.
- Experience raising capital in public or private markets is considered a significant asset.
- Experience collaborating directly with founders and owner-operators of small and mid-sized private businesses.

Pay: $150,000.00-$225,000.00 per year
Work Location: Hybrid remote in North York, ON (York District)
