The Ontario Securities Commission (OSC) is the statutory body responsible for regulating Ontario’s capital markets in accordance with the mandate established in the provincial Securities Act and the Commodity Futures Act. The mandate of the OSC is to provide protection to investors from unfair, improper or fraudulent practices, to foster fair, efficient and competitive capital markets and confidence in the capital markets, to foster capital formation, and to contribute to the stability of the financial system and the reduction of systemic risk. This mandate is performed through policy, operational, and enforcement activities. The OSC also contributes to national and global securities regulation development.

The Corporate Finance Department is a regulatory department responsible for regulating issuers (other than investment funds) in the public and exempt markets. The department reviews public distributions of securities, exempt market activities and continuous disclosure of reporting issuers, and leads issuer-related policy initiatives. The department is also responsible for supervising insider reporting, regulating credit rating agencies and overseeing the listed issuer function for OSC recognized exchanges.
Position Summary
The Senior Investment Specialist, Real Estate & Mortgages, will provide specialized expertise on Syndicated Mortgage Investments (SMI)/Real Estate Investments, guiding policy initiatives for alternative mortgage lenders and real estate investment issuers. Working closely with senior legal counsel and accountants, the Specialist will support compliance reviews and sweeps, contribute to continuous disclosure planning for real estate issuers and alternative mortgage lenders, and provide strategic advice on emerging risks, market trends, and policy issues.
This role requires strong real estate and mortgage sector experience, sound investment experience, and the ability to assess complex structures, underlying asset and portfolio risks, valuation assumptions, and investor protection concerns. The Specialist will also contribute to briefing materials for senior management, support cross divisional collaboration, and design and deliver internal training.
Key Duties and Responsibilities
Serve as a subject matter expert on real estate investment structures and syndicated mortgage investments, including matters involving exemptive relief, regulatory approvals, prospectus reviews, registrant conduct, and potential enforcement concerns.
Conduct and support compliance reviews and thematic sweeps involving real estate issuers, alternative mortgage lenders, and syndicated mortgage related offerings.
Assess complex real estate and mortgage investment structures, underlying collateral, portfolio composition, and related disclosure to identify investor protection concerns and key risk indicators.
Develop and recommend risk criteria to support the identification and ranking of higher risk issuers, offerings, and mortgage portfolios, with a view to supporting effective regulatory oversight and resource allocation.
Work collaboratively with Corporate Finance staff to prepare continuous disclosure industry planning memos for real estate issuers and alternative mortgage lenders.
Analyze valuation assumptions, appraisals, fees, capital structures, performance metrics, and other real estate or mortgage related indicators in order to identify issues, inconsistencies, or potential red flags.
Monitor developments in real estate, private credit, mortgage lending, and capital markets, and provide strategic advice to management on emerging trends, risks, and regulatory implications, including broader market and systemic risk considerations.
Participate in discussions with market participants to communicate regulatory concerns, obtain relevant information, and support appropriate compliance outcomes.
Work in partnership with legal counsel and accountants to determine appropriate next steps arising from reviews, including preparing briefing materials for management and referrals to other Divisions where appropriate.
Foster collaboration and information sharing with other regulatory bodies in Ontario and across Canada to support coordinated oversight and joint initiatives where appropriate.
Support policy development and rulemaking by identifying relevant market data and contributing to cost benefit analysis and related regulatory work.
Design and deliver internal training to build staff knowledge in syndicated mortgage investments, real estate investment structures, and related market and regulatory developments.
Ideal Skills and Experience
University degree in Finance, Accounting, Economics, Business, or a related discipline.
Graduate degree in Business, Finance, Economics, or a related field is an asset.
Minimum six years of senior level experience in, real estate investment, mortgage lending, appraisal, portfolio management, or capital markets sector.
Deep knowledge of real estate and or mortgage based investment structures, including experience assessing investment risk, collateral quality, portfolio level exposures, valuation assumptions, or underwriting considerations.
Experience in one or more of the following areas would be highly valued: portfolio management, mortgage underwriting or lending, real estate investment analysis, appraisal, asset management, or securities regulation.
Strong understanding of issuer disclosure, investment structures, and investor protection issues relating to exempt market products and real estate or mortgage related offerings.
Demonstrated ability to think strategically, exercise sound judgment, and identify emerging risks and market trends.
Strong analytical and problem solving skills, with the ability to assess both asset level and portfolio level risks.
Excellent written, verbal, and presentation skills, with the ability to communicate complex issues clearly and concisely to a range of internal and external stakeholders.
Ability to work independently, manage competing priorities, and deliver high quality work within tight timelines.
Strong collaboration skills and the ability to work effectively with legal, accounting, policy, and regulatory colleagues.
Knowledge of the securities industry is required. Completion of the Canadian Securities Course or a similar program in securities regulation is an asset.
