Job Overview
We are seeking an organized, detail-oriented, and motivated Corporate Commercial Legal Assistant to join our growing team.
The successful candidate will assist lawyers with a broad range of corporate and commercial matters, manage files from opening to completion, maintain corporate records, and ensure all documentation is prepared accurately and efficiently.
Responsibilities
- Assist lawyers with corporate and commercial transactions and matters
- Prepare and organize legal documents, correspondence, and closing packages
- Incorporate companies, register partnerships, and prepare organizational documents
- Prepare annual return documents, resolutions, and minute book updates
- Maintain and update corporate records and minute books
- Conduct corporate searches and assist in due diligence reviews
- Draft and file documents with Alberta Corporate Registry and other regulatory authorities
- Communicate with clients, accountants, financial institutions, and government agencies
- Open, maintain, and close client files in accordance with firm procedures
- Manage calendars, deadlines, and file tracking systems
- Assist with commercial transactions, including asset and share purchases, financing transactions, and business reorganizations
- Maintain accurate records and ensure compliance with Law Society of Alberta requirements
Qualifications
- Previous experience as a legal assistant is an asset; however, we are willing to train a motivated and suitable candidate
- Excellent attention to detail and organizational skills
- Strong written and verbal communication abilities
- Ability to manage multiple priorities and deadlines in a fast-paced environment
- Professional and client-focused attitude
- Strong computer and administrative skills
Assets
- Experience in corporate commercial law
- CORES level 1. 2 and 3
- Familiarity with Alberta corporate procedures and Alberta Corporate Registry filings
- Experience maintaining corporate minute books
- Experience preparing corporate resolutions and organizational documents
- Knowledge of legal terminology and corporate structures
- Proven customer service and administrative experience
- Ability to work independently while contributing to a collaborative team environment
