PRIMARY EMPLOYMENT OBJECTIVES
The Legal & Compliance Paralegal will assist the General Counsel and the Legal & Compliance team with the day-to-day responsibilities of the departments. This position will be responsible for performing various functions, including but not limited to: Corporate filings and registrations for various legal entities within the company’s corporate structure, maintain corporate records (including shareholder information, IP portfolio, contract database, etc), prepare and draft corporate documents (resolutions, NDAs, etc), support and assist immigration matters for company employees (i.e. obtaining of necessary visas, providing correspondence for required business travel, etc), maintain well-organized record and document control systems, perform filings in connection with import/export matters, ITAR matters and security clearances, and participate in special projects as needed.
This is an on-site role in our Montreal Headquarters
SPECIFIC ESSENTIAL DUTIES & RESPONSIBILITIES
- Assist with bringing contracts through Cobblestone, working with both internal and external stakeholders on the front line with day-to-day questions and needs
- Assist with the drafting of corporate and legal information for annual filings, board activity, regulatory compliance and state/local authorities
- Assist with specialized projects within our legal tech stack, including data cleanup or various diligence projects.
- Assist with collecting key data and documentation from a variety of Galvion stakeholders for audits, compliance, or other special projects.
Knowledge, Skill & Experience Requirements
- 5+ years' experience as in-house or law firm paralegal, preferably with international, defense industry experience or government contracting.
- Ability to work in a fast-paced, ever-changing environment
- Excellent communication skills (written and verbal)
- Strong attention to detail, ability to quickly grasp key legal and regulatory concepts
- Ability to multi-task
- Proficient with time and activity management
- Proficiency with Microsoft Office; Word, Excel
- Ability to work independently and ability to work with others in the organization

OBJECTIFS PRINCIPAUX DU POSTE
Le parajuriste – Juridique et Conformité assistera le conseiller juridique principal ainsi que l’équipe Juridique et Conformité dans les responsabilités quotidiennes du département. Ce poste sera chargé d’exécuter diverses fonctions, incluant notamment : les dépôts et enregistrements corporatifs pour différentes entités juridiques au sein de la structure de l’entreprise, la tenue des registres corporatifs (y compris les informations sur les actionnaires, le portefeuille de propriété intellectuelle, la base de données des contrats, etc.), la préparation et la rédaction de documents corporatifs (résolutions, ententes de confidentialité, etc.), le soutien aux dossiers d’immigration des employés (p. ex. obtention de visas nécessaires, préparation de correspondance pour les déplacements d’affaires, etc.), le maintien de systèmes de gestion documentaire et de contrôle des dossiers bien organisés, la réalisation de dépôts liés aux questions d’import/export, aux exigences ITAR et aux habilitations de sécurité, ainsi que la participation à des projets spéciaux au besoin.
PRINCIPALES TÂCHES ET RESPONSABILITÉS
- Participer à la gestion des contrats dans Cobblestone, en collaborant avec des parties prenantes internes et externes et en répondant aux besoins et questions quotidiennes
- Contribuer à la rédaction d’informations juridiques et corporatives pour les dépôts annuels, les activités du conseil d’administration, la conformité réglementaire et les autorités étatiques/locales
- Participer à des projets spécialisés liés à l’écosystème technologique juridique, incluant le nettoyage de données et divers projets de diligence
- Aider à la collecte de données et de documents clés auprès de différents intervenants de Galvion dans le cadre d’audits, de conformité ou d’autres projets spéciaux
EXIGENCES EN MATIÈRE DE CONNAISSANCES, COMPÉTENCES ET EXPÉRIENCE
- Plus de 5 ans d’expérience en tant que parajuriste en entreprise ou en cabinet, de préférence avec une expérience internationale, dans l’industrie de la défense ou les contrats gouvernementaux
- Capacité à travailler dans un environnement dynamique et en constante évolution
- Excellentes compétences en communication (écrite et orale)
- Grande attention aux détails et capacité à assimiler rapidement des concepts juridiques et réglementaires clés
- Capacité à gérer plusieurs tâches simultanément
- Bonne maîtrise de la gestion du temps et des activités
- Maîtrise de Microsoft Office (Word, Excel)
- Capacité à travailler de manière autonome ainsi qu’en collaboration avec d’autres membres de l’organisation
