Director, Public Company Advisory
RW GLOBAL CONSULTING CORP is a Vancouver-based public company management consulting firm providing CFO, corporate finance, financial reporting, governance, regulatory compliance, and capital markets advisory services to publicly listed companies across Canada and internationally.
Role Description
This is a full-time, on-site role for a Director, Public Company Advisory located in Vancouver, BC.
The Director will work closely with RW Global's Senior Directors and Partners in supporting public company clients through their financial reporting, governance, taxation, capital markets, and corporate transaction requirements. This role is ideal for a recently designated CPA seeking exposure to executive-level public company management, board governance, financing transactions, and cross-border capital markets activities.
The successful candidate will assist in managing multiple client engagements while developing the technical, leadership, and client management skills necessary for advancement into senior leadership positions within the firm.
Roles and ResponsibilitiesClient Management
- Assist Senior Directors and Partners in managing client relationships
- Participate in client meetings and communications
- Assist in onboarding new public company clients
- Coordinate client deliverables and timelines
External Financial Reporting
- Prepare quarterly and annual consolidated financial statements
- Prepare Management Discussion & Analysis (MD&A)
- Assist with preparation of Annual Information Forms (AIF), management information circulars, and other continuous disclosure filings
- Coordinate annual audits and quarterly reviews with external auditors
- Assist in researching and implementing new accounting standards
- Review work prepared by junior staff and assist with quality control
Internal Reporting and Financial Management
- Prepare budget versus actual reporting
- Assist in cash flow forecasting and financial planning
- Prepare ad hoc financial analyses and management reports
- Support operational and financial decision-making processes
Taxation
- Coordinate with external tax advisors regarding corporate tax matters
- Assist with T2 corporate tax filings and tax compliance matters
- Support flow-through share and resource sector tax reporting where applicable
Corporate Governance
- Assist in preparation of Board and Committee meeting materials
- Coordinate board resolutions and governance documentation
- Support implementation and monitoring of internal controls
- Assist with corporate records maintenance and regulatory compliance
- Liaise with directors, officers, and external advisors as required
Capital Markets and Corporate Transactions
- Support equity financing transactions, including private placements and prospectus offerings
- Support debt financing transactions and lender reporting requirements
- Assist in preparing investor presentations and shareholder communications
- Assist with regulatory and administrative matters relating to:
- Initial Public Offerings (IPOs)
- Capital Pool Company (CPC) Qualifying Transactions
- Reverse Takeovers (RTOs)
- Mergers and acquisitions
- Other corporate transactions
- Assist clients with cross-border capital markets initiatives, including U.S. public market listings and dual-listing transactions
- Assist in coordinating regulatory filings and compliance requirements relating to U.S. exchanges, including OTC Markets, Nasdaq, and NYSE listings
- Coordinate with U.S. legal counsel, auditors, investor relations professionals, and other advisors in support of cross-border financing and listing transactions
- Support SEC reporting and compliance initiatives where applicable
Risk Management and Compliance
- Assist in identifying and assessing business risks
- Monitor regulatory compliance requirements
- Support implementation of risk mitigation strategies
- Assist in maintaining public company compliance calendars
Legal and Regulatory Support
- Review legal agreements from a financial and commercial perspective
- Coordinate with external legal counsel
- Maintain awareness of securities regulations and stock exchange requirements
- Assist with regulatory filings and corporate disclosure obligations
Team Development
- Mentor and support junior staff members
- Review work prepared by analysts and associates
- Contribute to the development of internal processes and best practices
Compensation & Benefits
Salary: $90,000 – $100,000 annually, commensurate with experience

QualificationsRequired
- Chartered Professional Accountant (CPA) designation obtained within the last 1–5 years
- 2–5 years of relevant experience in public practice, public company reporting, corporate finance, audit, or advisory services
- Strong understanding of IFRS and financial reporting requirements
- Excellent analytical, organizational, and problem-solving skills
- Strong written and verbal communication abilities
- Ability to manage multiple priorities and deadlines
- Proficiency in Microsoft Excel and financial reporting systems
- Ability to work independently and collaboratively in a fast-paced environment
Preferred
- Experience with publicly listed companies
- Experience preparing financial statements and MD&A
- Exposure to capital markets transactions
- Familiarity with SEDAR+, TSX Venture Exchange, CSE, TSX, OTC Markets, Nasdaq, or NYSE reporting requirements
- Exposure to cross-border capital markets transactions and U.S. securities regulations
- Experience managing audit engagements
- Additional language skills considered an asset
